By purchasing from Forge Capital (“Seller”), the purchaser (“Buyer”) agrees to the following Terms & Conditions.

1. Scope of Sale

Forge Capital supplies medical devices and medical disposables subject to availability. All sales are made exclusively under these Terms & Conditions.

2. Entire Agreement

These Terms & Conditions constitute the entire agreement between Buyer and Seller and supersede all prior or contemporaneous communications. Any amendment or waiver must be in writing and expressly approved by Seller.

3. Purchase Price & Payment Terms

All prices are stated in United States Dollars (USD) and do not include applicable taxes, regulatory fees, permits, duties, tariffs, customs charges, shipping, terminal fees, or other related costs unless expressly stated in writing. All such costs are the sole responsibility of Buyer and may be invoiced separately.

Unless otherwise agreed in writing, no products will be released until full payment has been received and cleared in Seller’s bank account without restriction.

If Buyer fails to pay any balance by the invoice due date:

Any deposit shall become non-refundable, except as expressly provided in Section 4

A 12% monthly finance charge will accrue on the outstanding balance until paid in full

Seller may suspend performance, withhold delivery, or require adequate assurance of payment

Failure to provide such assurance within ten (10) days of request constitutes a material breach, entitling Seller to pursue all available remedies under Missouri law

All payments must be made via wire transfer, and Buyer is responsible for all associated bank and transfer fees.

4. Inspection, Acceptance & Deposit Terms

Buyer may inspect products through photographs, video demonstration, and/or in-person inspection prior to shipment or acceptance. Buyer’s failure to request inspection or to provide written notice of any material non-conformity within a reasonable time shall constitute final and irrevocable acceptance of the products as delivered.

Any deposit paid shall be refundable only if the products materially differ from Seller’s written description or are non-functional at the time of inspection. In all other circumstances, deposits are non-refundable.

5. Shipping, Risk of Loss & Services Disclaimer

Delivery dates are estimates only. Risk of loss transfers to Buyer upon release to the carrier or Buyer, as applicable.
Seller shall not be responsible for damage, loss, theft, robbery, accidents, delays, acts of God, carrier actions, or third-party conduct. Buyer acknowledges Seller is providing a supply and logistics service only.

6. Returns, Refunds & Cancellations

ALL SALES ARE FINAL. NO REFUNDS WILL BE ISSUED.
Returns will only be accepted if expressly agreed to in advance, in writing, by Seller, and solely under terms determined by Seller. Unauthorized returns will be refused.

7. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY MISSOURI LAW, ALL PRODUCTS ARE SOLD “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS.”
SELLER DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, UNLESS EXPRESSLY AGREED IN WRITING.

8. Limitation of Liability

SELLER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
SELLER’S TOTAL LIABILITY SHALL NOT EXCEED THE PURCHASE PRICE PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

9. Buyer Responsibilities & Compliance

Buyer is solely responsible for proper selection, use, storage, handling, and compliance with all federal, Missouri state, and local laws, including healthcare and export regulations.

10. Governing Law & Venue

These Terms & Conditions are governed by the laws of the State of Missouri, without regard to conflict-of-law principles.
Any legal action shall be brought exclusively in a court of competent jurisdiction within the State of Missouri.

11.Regulatory & Liability Notice

This item may be regulated by the U.S. Food and Drug Administration (FDA) as well as state and local regulatory authorities. Where applicable, purchase is limited to authorized buyers only. Do not place a bid or complete a purchase unless you are legally permitted to do so. If FDA or other regulatory requirements apply, the seller reserves the right to confirm buyer authorization prior to shipment.

All items are sold as-is, where-is, regardless of age, condition, cosmetic wear, operational status, defects, or missing components. No assurances, guarantees, or warranties—express or implied—are made regarding performance or functionality beyond what is explicitly stated in the listing. Any implied warranties, including but not limited to merchantability or fitness for a particular purpose, are expressly disclaimed.

Some items may have limited functionality or may require service, repair, calibration, or additional components. Pricing reflects these factors. Listings without a “Best Offer” option are priced as shown and offers will not be considered unless part of a multiple-item or combined purchase.

By purchasing this item, the buyer acknowledges and agrees that the seller assumes no responsibility or liability for any injury, loss, or damage arising from the possession, installation, use, misuse, or servicing of this equipment. The buyer further agrees to indemnify, defend, and hold harmless the seller and its owners, officers, employees, and agents from any and all claims, damages, costs, or expenses, including legal fees, related to the equipment or its use.
